Partner terms
Your contracting partner: Salus Alpha Group AG, Ruggell, Liechtenstein - see Imprint.
- Commission (affiliates). You earn the commission rate shown in your partner area (currently 25 %) of the net amount (without VAT and after discounts) of every payment a customer makes in the first 12 months after their first purchase with your code. The customer counts as yours if they buy through your link or enter your code at checkout; the first partner code used wins.
- Not paid: purchases by yourself or your own company, refunded or charged-back payments, purchases obtained by spam, misleading advertising, paid search ads on the brand name "Coinetic", or cookie stuffing. We may withhold commission and close the account in such cases.
- Payout. Commission is released 30 days after the payment (refund period) and paid monthly by bank transfer once at least $50 are due. You are responsible for your own taxes; please give your VAT ID if you have one. A refund after payout is offset against the next payout.
- Reseller discount. Resellers buy licenses for their customers through the partner area at the reseller discount shown there, also on renewals. The reseller sets its own price to the customer and is responsible for its customer relationship; the customer accepts the Coinetic license agreement when installing.
- Customer data. Affiliates see their sales without customer names. Resellers see the licenses they bought for their customers. Each side handles personal data under applicable data protection law.
- As is, no liability. The partner program, the partner area, links, tracking and figures are provided "as is" and "as available", without warranty. To the maximum extent permitted by law we are not liable for commission lost through technical errors, tracking failures or interruptions, nor for indirect damage or lost profit; otherwise our liability is limited to the commission owed to you. Liability that cannot be excluded by law (e.g. for intent or gross negligence) remains unaffected.
- Changes, end. We may change these terms or the rates with 30 days' notice by e-mail; either side may end the partnership at any time. Commission already earned is still paid out.
- Arbitration, no court proceedings. The partner program is a business relationship. Any dispute arising out of or in connection with these terms or the partnership is finally settled by arbitration under the Swiss Rules of International Arbitration of the Swiss Arbitration Centre in force on the date the notice of arbitration is submitted, by one arbitrator; seat Zurich, Switzerland; language English. Both sides waive their right to have such disputes decided by a court, including any right to a jury trial, and agree to resolve them only individually - no class, collective or representative proceedings. Claims must be brought within one year after the claimant knew or should have known of them. Either side may seek interim or injunctive relief from a competent court to protect intellectual property or confidential information or to stop misuse of the program. These terms are governed by Swiss law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. If a provision is unenforceable, the rest stays valid.
