("we", "us")
Please read this agreement carefully. By clicking "I accept" during installation, or by installing or using Coinetic, you ("you", the "Customer") agree to it on behalf of yourself and the organisation for which you install Coinetic. If you do not agree, do not install or use Coinetic.
1. Subject
Coinetic is software that monitors and manages the Windows Firewall and protects the computer on which it is installed (e.g. by banning addresses after port scans or failed logins). It consists of the program, its protection service, the documentation, and the online services described below (licence service, AI relay service).
2. Licence
2.1 Subject to this agreement and to payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable right to install and use Coinetic for the term of your subscription.
2.2 A licence is valid for ONE computer. Each computer on which Coinetic runs needs its own licence, unless your subscription expressly covers several computers. A computer is identified by a technical fingerprint (see section 5).
2.3 A licence may be moved to another computer only by us (e.g. when the computer is replaced). Please contact your Coinetic supplier for this.
2.4 Trial: we may offer a free trial for a limited period (currently 30 days). Only one trial is permitted per computer and per internet connection. After the trial, a paid licence is required.
3. Restrictions
You may not: (a) copy Coinetic except for installation and backup; (b) use one licence on more than the permitted number of computers, or attempt to circumvent the licence check, the computer fingerprint or the trial limits; (c) reverse engineer, decompile or disassemble Coinetic, except as permitted by mandatory law; (d) rent, lease, sell or otherwise pass Coinetic or a licence key to third parties; (e) remove copyright or licence notices.
4. Online Licence Check; End Of Protection
4.1 Coinetic checks its licence online with our licence service when it is installed and regularly afterwards (currently every few hours). The computer therefore needs an outbound internet connection to our licence service.
4.2 If the licence is invalid, has expired, has been cancelled or released, or if the licence service cannot be reached for more than 7 days, Coinetic STOPS ITS ACTIVE PROTECTION: it no longer bans addresses automatically and no longer locks network profiles. Firewall rules and bans that already exist remain in place. You are responsible for maintaining a valid licence and for other protection measures during such periods.
5. Data Sent To Us
5.1 For the licence check, Coinetic sends: the licence key, a fingerprint of the computer (a one-way hash derived from Windows' machine identifier and the computer's hardware identifier), the computer name, the Windows version, the Coinetic version and a computer-specific token. We also see the public IP address from which the computer connects. We use these data to provide and enforce the licence, to prevent misuse of trials, and for support.
5.2 AI relay service (optional, if included in your subscription and switched on): when you use "Ask AI", your question and the information Coinetic adds to it (for example log lines, IP addresses, rule names, user names) are sent to our AI relay service and processed by the AI service we use for this purpose. Do not use "Ask AI" for information you may not pass on. The AI can only read the information it is given; it cannot change anything on your computer.
5.3 Attack statistics: unless you switch it off (Help > License), Coinetic sends once an hour how many connections were blocked and how many attacking addresses were banned, by type. These are counts only - no IP addresses, names, log lines or other content. They are linked to the computer's fingerprint only so that we count licensed installations once. We add them up over all installations and may publish the totals (for example on our website).
5.4 Details are set out in our privacy policy: https://coinetic.io/privacy.html. Where we process personal data on your behalf, a data processing agreement applies on request.
6. Fees And Term
Fees, payment terms and the subscription term are set out in your order or offer. Online orders are processed by our reseller Paddle.com, which is the merchant of record; Paddle's buyer terms and our refund policy (https://coinetic.io/refund.html) apply to them. The licence ends automatically when the subscription ends or is terminated. We may terminate the licence for good cause, in particular for a breach of sections 2 or 3.
7. No Warranty – "As Is"
7.1 Coinetic, the online services (licence check, AI relay service, updates) and the documentation are provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, to the maximum extent permitted by applicable law. In particular, we do not warrant merchantability, fitness for a particular purpose, non-infringement or accuracy, nor that Coinetic detects or blocks any or every attack, is free of errors, or runs without interruption. No security software can prevent every attack.
7.2 Coinetic changes firewall rules and settings of the computer. Incorrect configuration (e.g. banning one's own addresses, blocking required ports) can make services or remote access unavailable. You use Coinetic at your own risk and are responsible for the configuration, for checking changes and for keeping a way to access the computer (e.g. a console).
7.3 Answers of the AI ("Ask AI") are generated automatically, may be incomplete or wrong and are not professional advice. Check them before you act on them; you decide and act at your own risk.
7.4 Statutory warranty rights that cannot be excluded (for example for consumers) remain unaffected, limited to the minimum the law allows.
8. No Liability
8.1 To the maximum extent permitted by applicable law, neither we nor our affiliates, officers, employees or suppliers are liable for any damage arising out of or in connection with Coinetic, the online services or this agreement, whatever the legal ground (contract, tort or otherwise) - in particular not for indirect or consequential damage, lost profit or revenue, business interruption, loss or corruption of data, unavailability of services or remote access, or damage caused by attacks, intrusions or malware that Coinetic did not detect or prevent.
8.2 Where liability cannot be excluded by law, it is limited, to the extent the law allows, to the fees you paid for the affected licence in the twelve months before the damaging event.
8.3 Nothing in this agreement excludes or limits liability that cannot be excluded or limited by law, in particular for intent, gross negligence, injury to life, body or health, or under mandatory product liability law.
9. Third-Party Components
Coinetic contains or is based on third-party components (see THIRD-PARTY-NOTICES.txt in the installation folder). Their licences apply to those components.
10. Disputes – Arbitration And Waiver Of Court Proceedings
10.1 Arbitration. To the maximum extent permitted by applicable law, any dispute, controversy or claim arising out of or in connection with this agreement, Coinetic, the online services or their use, including its formation, validity, interpretation, breach or termination, shall be finally settled by arbitration under the Swiss Rules of International Arbitration of the Swiss Arbitration Centre in force on the date the notice of arbitration is submitted, by one arbitrator. The seat of arbitration is Zurich, Switzerland. The language of the arbitration is English. The award is final and binding, and judgment on it may be entered in any competent court.
10.2 Waiver of court proceedings. To the maximum extent permitted by applicable law, the parties waive their right to have any such dispute decided by a court, including any right to a trial by jury.
10.3 Individual claims only. To the maximum extent permitted by applicable law, disputes are resolved only on an individual basis. Neither party may bring or take part in a class, collective, consolidated or representative action or arbitration, or act as a private attorney general, against the other.
10.4 Time limit. To the maximum extent permitted by applicable law, any claim must be brought within one (1) year after the claimant knew or should have known of it; later claims are barred.
10.5 Exceptions. Either party may (a) bring an individual claim in a small-claims court where it qualifies, and (b) seek interim or injunctive relief from any competent court to protect its intellectual property or confidential information or to stop a breach of sections 2 or 3, without waiving arbitration.
10.6 Consumers. If you are a consumer and the law of your country of residence does not allow an arbitration agreement, a waiver of court proceedings or one of the provisions above to bind you in advance (as is generally the case in the European Union, the United Kingdom and Switzerland), the provision concerned does not apply to you, and you keep the right to bring proceedings before the courts competent under that law and the protection of the mandatory consumer law of your country. Where it does bind you: you may opt out of sections 10.1 to 10.3 by e-mail to legal@coinetic.io within 30 days after first accepting this agreement.
10.7 Purchases. Payments, invoices, VAT and refunds of online orders are handled by Paddle.com as merchant of record under Paddle's buyer terms, which include their own dispute rules.
10.8 Data protection. Nothing in this section limits your right to lodge a complaint with a data protection supervisory authority.
11. Final Provisions
11.1 This agreement is governed by Swiss law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection law of a consumer's country of residence remains unaffected.
11.2 Should any provision be invalid or unenforceable, the remaining provisions remain valid; the invalid provision is replaced by the valid one that comes closest to its purpose. If the class / collective action waiver (10.3) is found unenforceable for a claim, that claim (and only that claim) is decided by the competent court, not in arbitration.
11.3 Changes to this agreement require written form.
